Terms of Service

These terms cover your use of LicensorFlow, the renewal tracking service run by LicensorFlow. By creating an account or using the service, you agree to them on behalf of yourself and the organization you represent.

Effective Version 3.112 min read

The short version

  • Your data belongs to you. You can export it anytime, on every plan.
  • Paid plans renew automatically. You can cancel anytime before the next billing date.
  • LicensorFlow sends reminders, but you are still responsible for meeting your own deadlines.
  • We give you 30 days’ notice before any material change to these terms.

This summary is for convenience. The full text below is what applies.

01Who we are and who these terms apply to

In plain terms:These terms are between you and LicensorFlow.

"LicensorFlow," "we" and "us" mean LicensorFlow, a Delaware corporation. "Customer" or "you" means the organization that signs up for the service and the people it authorizes to use its account ("Users").

If you accept these terms for an organization, you confirm that you have authority to bind it. If your organization has signed a separate agreement with us, that agreement takes priority where the two conflict.

02Your account

In plain terms:Keep your login secure and tell us if something looks wrong.
  • You must be at least 18 and provide accurate account information.
  • You are responsible for activity under your account and for the Users you invite.
  • Keep passwords confidential and use multi-factor authentication where available.
  • Tell us promptly at support@licensorflow.co if you suspect unauthorized access.

03Plans, trials and billing

In plain terms:Plans renew automatically until you cancel. Prices are per group, not per item.

Paid plans are billed in advance, monthly or yearly, based on the number of groups in your plan. Items within groups are unlimited. Free trials last 14 days and do not require a payment method. At the end of a trial your workspace becomes read-only until you choose a plan.

Subscriptions renew automatically for the same billing period. We will email you at least 30 days before any yearly renewal and at least 30 days before any price change. Fees are non-refundable except where required by law or stated in these terms. Taxes are extra where applicable.

If a payment fails, we will retry and notify you. If it remains unpaid 15 days after notice, we may suspend access until it is resolved. We will not delete your data for non-payment without giving you a further 30 days to export it.

04Cancellation and termination

In plain terms:Cancel anytime from Settings. You keep access until the end of the period you paid for.

You can cancel from Settings, then Billing, at any time. Cancellation takes effect at the end of the current billing period. Either party may terminate if the other materially breaches these terms and does not fix the breach within 30 days of written notice.

After termination you have 30 days to export your data. After that we delete it from active systems, and from backups within a further 35 days, unless the law requires us to keep it.

05Your content and document extraction

In plain terms:You own what you upload. Always check dates that LicensorFlow pulls from documents.

"Customer Content" means the contracts, licenses, policies, files, fields and notes you or your Users add to the service. You keep all rights to it. You give us a limited license to host, process and display it only to provide and support the service for you.

LicensorFlow can suggest dates, notice periods and other terms extracted from documents. Suggestions can be wrong. You are responsible for reviewing extracted information before relying on it. We do not use Customer Content to train general-purpose AI models.

06Reminders are a tool, not a guarantee

In plain terms:LicensorFlow helps you remember. It doesn’t make renewal decisions or give legal advice.

LicensorFlow sends reminders and escalations based on the dates and settings you provide. Delivery by email, text message, Slack or Teams depends on third-party networks we do not control. You remain responsible for meeting your contractual, licensing and regulatory obligations.

Content in the service and on our website, including the Playbook, is general information and not legal, tax or insurance advice.

07Integrations and third-party services

If you connect a third-party service such as a calendar, Slack, Microsoft Teams or an accounting system, you authorize us to exchange data with it as needed to provide the integration. Your use of that service is governed by its own terms.

08Acceptable use

In plain terms:Use LicensorFlow for its intended purpose and don’t try to break it.
  • No unlawful content, or content you don’t have the right to upload.
  • No attempts to probe, scan or test the security of the service without our written permission.
  • No reselling or sublicensing the service, and no building a competing product from it.
  • No sending spam or unsolicited messages through our reminder features.

09Availability and support

We aim for 99.9% monthly availability, excluding scheduled maintenance announced at least 48 hours ahead. Support is available by email and in-app chat on every plan. Scale customers also get a named contact.

10Warranties and disclaimers

We will provide the service with reasonable skill and care, in line with our documentation. Except as stated in these terms, the service is provided "as is," and we disclaim all other warranties to the extent the law allows, including merchantability, fitness for a particular purpose and non-infringement.

11Limitation of liability

In plain terms:Each side’s liability is capped at what you paid us in the past 12 months.

To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, even if advised they were possible. Each party’s total liability is limited to the fees paid or payable by Customer in the 12 months before the claim.

These limits do not apply to a party’s indemnification obligations, to Customer’s payment obligations, or to liability that cannot be limited by law.

12Changes, governing law and general terms

We may update these terms. For material changes, we will notify account owners by email and in the app at least 30 days before they take effect. Continuing to use the service after that date means you accept the updated terms.

These terms are governed by the laws of the State of California, excluding its conflict-of-law rules. Courts in San Francisco County, California have exclusive jurisdiction. If any provision is unenforceable, the rest remain in effect. Neither party may assign these terms without the other’s consent, except as part of a merger or sale of substantially all assets.
